These Terms and Conditions (the "Terms") govern access to and use of the website located at www.b-aml.com (the "Website"), operated by Bolster International L.L.C-FZ, a Limited Liability Company incorporated in the Meydan Free Zone, Dubai, United Arab Emirates, trading under the commercial name B-AML (collectively referred to as "B-AML", "we", "us", or "our"). These Terms apply to all visitors, users, and prospective clients who access or interact with the Website in any manner.

By accessing, browsing, downloading any material from, or submitting any form through the Website, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease use of the Website.

These Terms are available in English and French. In the event of any inconsistency or conflict between the English and French versions, the English language version shall prevail in all circumstances.

1. Company Information and Regulatory Status

The Website is operated by Bolster International L.L.C-FZ, a company incorporated in the Meydan Free Zone, Dubai, United Arab Emirates. The company's registered address is Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, UAE.

B-AML is the registered trading name under which Bolster International L.L.C-FZ delivers AML/CFT compliance support services to businesses in the United Arab Emirates. B-AML operates under a commercial licence authorising compliance advisory and support services activities in the UAE. As a provider of compliance support services to Designated Non-Financial Businesses and Professions (DNFBPs), B-AML’s activities fall within the supervisory scope of the UAE Ministry of Economy and Tourism (MOE) in accordance with applicable UAE AML/CFT law.

2. Nature of Services — Compliance Support, Not Compliance Officer

IMPORTANT REGULATORY NOTICE — PLEASE READ CAREFULLY

B-AML provides ongoing compliance support and advisory services to DNFBPs operating under UAE AML/CFT law. These services include, but are not limited to: AML policy drafting and review, Business Risk Assessments, Customer Due Diligence (CDD/EDD) support, goAML registration assistance, staff training, regulatory filing support, and general AML/CFT advisory.

Under Federal Decree-Law No. 10 of 2025 on Anti-Money Laundering and Combating the Financing of Terrorism and Proliferation Financing and its implementing regulation under Cabinet Decision No. 134 of 2025, the appointment of a Compliance Officer is a personal, non-delegable legal obligation of the regulated entity. The Compliance Officer must be an individual physically employed or retained within the regulated entity and registered with the relevant supervisory authority.

B-AML does not act as, and cannot substitute for, the Compliance Officer of any client entity. No engagement with B-AML — whether through this Website, by email, by WhatsApp, or under a Service Agreement — shall be construed as appointing B-AML or any of its personnel as the Compliance Officer of the client entity.

Responsibility for regulatory compliance, including all reporting obligations, sanctions screening, and supervisory communications, remains exclusively with the client entity and its designated Compliance Officer.

B-AML acts solely as an external compliance support partner. The scope of any engagement is defined exclusively by the executed Service Agreement between B-AML and the client entity.

3. Website Purpose — Information and Contact Only

The Website at www.b-aml.com serves exclusively as an informational and initial contact platform. Its purpose is to:

  • Describe the compliance support services offered by B-AML;
  • Allow prospective clients to submit an enquiry or qualification questionnaire;
  • Provide downloadable compliance resources and insights produced by B-AML;
  • Allow individuals to subscribe to the B-AML newsletter.

The Website does not constitute a platform for the delivery of compliance services, the provision of regulatory advice, or the formation of any contractual engagement. No service is rendered, commenced, or implied through use of the Website. A formal client engagement commences exclusively upon full execution of a written Service Agreement signed by authorised representatives of both parties.

4. No Advisory Relationship — Pre-Contractual Communications

4.1 No Client Relationship Prior to Service Agreement

Use of this Website, submission of a contact or qualification form, receipt of a response from B-AML, or any exchange of information prior to the execution of a Service Agreement does not create an advisory relationship, a retainer, a client relationship, or any service obligation on the part of B-AML. B-AML assumes no duty of care and no liability of any nature arising from pre-contractual communications or from any information provided to prospective clients prior to a signed Service Agreement.

4.2 Preliminary Nature of Pre-Contractual Views

Any view, comment, indication, or suggestion expressed by B-AML personnel — whether by email, WhatsApp, telephone, or any other channel — prior to the execution of a formal Service Agreement represents a preliminary and non-binding perspective only. Such expressions do not constitute professional advice, a compliance opinion, or a regulatory determination, and shall not be relied upon as such. Before making any decision or taking any action that might affect your regulatory standing or business, you should consult a qualified professional advisor under a formal engagement.

4.3 Unsecured Pre-Contractual Channels

Pre-contractual communications between prospective clients and B-AML may take place via email and WhatsApp. These channels are not encrypted end-to-end secure communication channels equivalent to the confidentiality protections established under a formal engagement. You are strongly advised not to transmit commercially sensitive, legally privileged, or confidential business information through these channels prior to the execution of a Service Agreement. B-AML shall not be liable for any disclosure, interception, or misuse of information transmitted through unsecured channels at the initiative of the prospective client prior to formal engagement.

4.4 Disclaimer of Regulatory Advice

The Website contains general information only. B-AML is not, by means of this Website, rendering professional advice or compliance services. Nothing communicated through this Website constitutes a compliance opinion, a regulatory determination, or a representation that any particular course of action will ensure regulatory compliance. All such determinations require formal engagement and are governed exclusively by the applicable Service Agreement.

5. Eligibility and Permitted Users

The Website is intended for use by business owners, directors, general managers, compliance officers, and duly authorised representatives of corporate entities that are or may be subject to UAE AML/CFT obligations. The services described on this Website are available exclusively to entities incorporated, licensed, or operating within the United Arab Emirates. B-AML does not provide services to individuals in a personal capacity or to entities operating outside the UAE.

Access to the Website is open to international visitors for informational purposes. However, by accessing the Website from outside the UAE, you acknowledge that the services described are not available to you and that you will not use the Website to initiate a service engagement.

By using the Website, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity and, where applicable, the authority to bind the entity on whose behalf you are acting; and (c) your access to and use of the Website is not prohibited by any applicable law or regulation.

6. Downloadable Resources and Newsletter

6.1 Compliance Guides and Downloadable Content

B-AML may make available on the Website compliance guides, regulatory summaries, checklists, and other informational resources (collectively, "Resources") for free download without registration. All Resources are provided for general informational and educational purposes only. They do not constitute legal advice, a compliance opinion, or a substitute for professional advisory services tailored to the specific circumstances of your entity.

B-AML makes reasonable efforts to ensure the accuracy of Resources at the time of publication. However, regulatory frameworks are subject to change. B-AML does not warrant the ongoing accuracy, completeness, or applicability of any Resource and accepts no liability for any action taken in reliance on downloaded content. All Resources are protected by copyright and subject to Section 8 of these Terms.

6.2 Newsletter

Visitors may subscribe to the B-AML newsletter by providing their email address. By subscribing, you consent to receive periodic communications from B-AML relating to AML/CFT regulatory developments, compliance guidance, and B-AML service updates. You may unsubscribe at any time by clicking the unsubscribe link in each newsletter or by contacting us at the address in Section 1. Your email address will be processed in accordance with our Privacy Policy.

6.3 Feedback and Submissions

If you submit any feedback, suggestions, comments, or ideas to B-AML through the Website, by email, or by any other channel (collectively, "Feedback"), you grant B-AML a non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, and incorporate such Feedback into its services, content, or methodologies without any obligation of confidentiality, compensation, or attribution to you, unless you have explicitly requested confidentiality in writing prior to submission. You represent that any Feedback you submit is your own and does not infringe any third-party rights.

7. Acceptable Use

You agree to access and use the Website solely for lawful purposes and in a manner consistent with these Terms and all applicable UAE law, including Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrime. You must not:

  • Use the Website or any of its content for any unlawful, fraudulent, or malicious purpose;
  • Transmit, upload, or distribute viruses, malware, ransomware, or any other harmful or disruptive code;
  • Attempt to gain unauthorised access to the Website, its servers, backend systems, databases, or any networks connected to it;
  • Use automated tools, scrapers, crawlers, or bots to extract, index, or harvest data from the Website without our prior written consent;
  • Submit false, misleading, fraudulent, or impersonating information through any form or communication channel;
  • Interfere with or disrupt the integrity, security, or performance of the Website or any third-party systems connected to it;
  • Use the Website in a manner that could damage the reputation, brand, or business interests of B-AML;
  • Copy, reproduce, republish, or exploit any content, design, layout, or material from the Website for commercial purposes without our express written authorisation.

B-AML reserves the right to investigate suspected breaches of this section and to take all appropriate legal action, including civil and criminal proceedings where warranted under UAE law.

8. Intellectual Property Rights

8.1 Ownership

All content on the Website, including but not limited to text, regulatory insights, compliance guides, articles, checklists, frameworks, methodologies, graphics, logos, icons, visual identity, design elements, layout, colour schemes, and all other materials (collectively, the "Content"), is the exclusive property of Bolster International L.L.C-FZ or its creators, and is protected under Federal Law No. 38 of 2021 on Copyrights and Related Rights (UAE) and applicable international intellectual property conventions. The B-AML name, logo, and visual identity are the exclusive property of B-AML. Unauthorised use of the B-AML name, logo, or any confusingly similar mark is strictly prohibited.

8.2 Permitted Use

You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and view the Content for your own internal, non-commercial informational purposes only. You may download Resources made available for that purpose. No other rights are granted.

8.3 Prohibited Use

Without our prior written consent, you may not:

  • Reproduce, publish, broadcast, or distribute any Content, in whole or in part, by any means;
  • Modify, adapt, translate, reverse-engineer, or create derivative works based on any Content;
  • Use any Content, insights, frameworks, methodologies, or materials from this Website to develop, offer, or market compliance services or products in competition with B-AML;
  • Remove, obscure, or alter any copyright notice, trademark, watermark, or other proprietary marking on any Content;
  • Represent any Content as your own work or misattribute its origin;
  • Share, republish, or redistribute downloadable Resources on third-party platforms without clear attribution to B-AML and a link to the original source.

Any unauthorised use of Content constitutes an infringement of B-AML's intellectual property rights and may result in legal action.

9. Regulatory Content — Accuracy Disclaimer

The Website publishes articles, summaries, and commentary relating to UAE AML/CFT regulations, FATF standards, Ministry of Economy requirements, goAML obligations, and related compliance topics. This content is prepared in good faith based on B-AML's understanding of the regulatory landscape as at the stated publication date.

Regulatory frameworks are subject to amendment, supplementary guidance, and supervisory interpretation at any time without notice. B-AML does not warrant the ongoing accuracy, completeness, currency, or applicability of any regulatory content to your specific entity or circumstances. You must independently verify all regulatory requirements with the relevant competent authority or obtain formal professional advice before taking any compliance action. B-AML accepts no responsibility for any regulatory sanction, penalty, or adverse outcome resulting from reliance on Website content in the absence of a formal engagement.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable UAE law, the Website and all Content and Resources are provided on an "as is" and "as available" basis, and we make no express or implied representations or warranties regarding them. Without limiting the foregoing, we do not warrant that the Website will be secure, error-free, or free from viruses or malicious code, or will meet any particular criteria of performance or quality. 11. Limitation of Liability

We will not be liable for any direct, indirect, special, incidental, consequential, or punitive damages or any other damages whatsoever, whether arising under contract, statute, extra-contractual liability, or otherwise, relating to or arising out of the use of this Website or any pre-contractual interaction with B-AML, even if we knew or should have known of the possibility of such damages.

This exclusion covers without limitation: loss of profits, loss of data, loss of business opportunity, reputational harm, and any loss arising from reliance on Website content or pre-contractual communications in the absence of an executed Service Agreement.

Where a Service Agreement has been duly executed, B-AML's liability to the client shall be limited as set out in the applicable Service Agreement between the parties.

The above disclaimers and limitations of liability are applicable to the fullest extent permitted by law, whether in contract, statute, extra-contractual liability, or otherwise. Nothing in these Terms shall exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under mandatory applicable UAE law.

12. Service Agreement

All formal compliance support engagements between B-AML and client entities are governed exclusively by a separate, written Service Agreement. The Service Agreement sets out the scope of services, deliverables, fees, timelines, confidentiality obligations, data handling procedures, termination rights, and all other terms applicable to the specific engagement. These Terms govern your use of the Website only. In the event of any conflict between these Terms and an executed Service Agreement, the Service Agreement shall prevail with respect to the subject matter of that engagement.

13. Third-Party Links and External Resources

The Website may contain hyperlinks to third-party websites, including UAE regulatory authority portals and international bodies. These links are provided for informational convenience only. B-AML does not endorse, control, or accept any responsibility for the content, accuracy, or security of third-party websites. Certain links on this Website may lead to websites maintained by third parties over whom we have no control. Links to any such websites should not be construed as an endorsement of them or their content by us. Your access to any third-party website is entirely at your own risk and subject to that website's own terms.

14. Privacy and Data Protection

The collection, use, and protection of personal data submitted through the Website is governed by our Privacy Policy, which forms an integral part of these Terms. We process personal data in accordance with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (UAE PDPL). You acknowledge that we may use your personal information and data according to our Privacy Policy, which is incorporated herein by reference, and you hereby agree to the terms of our Privacy Policy.

15. Cookies and Tracking Technologies

16. Confidentiality of B-AML Information

17. Force Majeure

B-AML shall not be liable for any failure or delay in performing any obligation under these Terms caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, governmental or regulatory action, cyberattacks, telecommunications failures, or disruptions to internet infrastructure.

18. Surviving Provisions

The following provisions shall survive termination of these Terms or cessation of your use of the Website and shall remain in full force and effect: Section 6.3 (Feedback), Section 8 (Intellectual Property Rights), Section 11 (Limitation of Liability), Section 16 (Confidentiality), and Section 21 (Governing Law and Jurisdiction).

19. Severability and Entire Agreement

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect. If any portion of these Terms is invalid or unenforceable in any jurisdiction, then in that jurisdiction it shall be re-construed to the maximum effect permitted by law in order to effect its intent as nearly as possible, and the remainder of these Terms shall remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and B-AML with respect to your use of this Website.

We may revise these Terms at any time in our sole discretion by posting the revised Terms on the Website. Such revisions shall be effective as to you upon posting, unless explicitly stated otherwise. 21. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai. Any dispute, controversy, or claim arising out of or in connection with these Terms or the Website shall be subject to the exclusive jurisdiction of the competent onshore courts of the Emirate of Dubai, UAE. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
